Our intellectual property

We own or license the intellectual property rights in our Services, including source code, databases, functionality, software, website designs, text, photographs, graphics, trademarks, service marks, and logos.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and download or print properly accessed Content solely for personal, non-commercial use or internal business purposes.

If information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.

You may not access or use the Services for any purpose other than the purposes for which we make them available. Prohibited activity includes:

• Systematically retrieving data or content to create a collection, database, or directory without written permission.
• Tricking, defrauding, misleading, harassing, abusing, threatening, or harming us, our users, employees, or agents.
• Circumventing or interfering with security-related features or restrictions of the Services.
• Uploading viruses or other harmful material, engaging in automated scraping, or disrupting networks connected to the Services.
• Copying, adapting, deciphering, decompiling, disassembling, or reverse engineering software that forms part of the Services except as permitted by law.
• Using the Services to compete with us or for unauthorized commercial purposes.

The Services may allow you to create, submit, upload, display, transmit, or distribute content and materials. When you provide Contributions, you represent that you have the necessary rights and that the Contributions are accurate, lawful, and do not infringe the rights of any third party.

You agree that we may access, store, process, and use information and personal data you provide, including settings and choices, as needed to operate the Services. Feedback or suggestions may be used or shared by us without compensation to you.

We do not claim ownership of your Contributions. You remain responsible for your Contributions and agree to release us from responsibility for them.

We reserve the right, but not the obligation, to monitor the Services for violations, take appropriate legal action, restrict or disable Contributions, remove burdensome files or content, and manage the Services to protect our rights and facilitate proper operation.

These Legal Terms remain in effect while you use the Services. We may deny access to and use of the Services to any person for any reason, including breach of these Legal Terms or applicable law.

We may terminate your use of the Services or delete content you posted at any time. If your account is terminated or suspended, you may not create a new account under your name, a false name, or the name of another person.

We may change, modify, remove, suspend, discontinue, or otherwise update the Services at any time without notice. We cannot guarantee the Services will always be available and will not be liable for interruptions, delays, errors, or discontinuance.

These Legal Terms are governed by the laws of the State of Missouri. Vertec LLC and you consent to the exclusive jurisdiction of the courts in Kansas City, Missouri for disputes arising in connection with these Legal Terms.

Informal negotiations

The parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration, except for disputes expressly excluded below.

Binding arbitration

Disputes arising out of or in connection with these Legal Terms will be referred to and finally resolved by binding arbitration with one arbitrator. The seat of arbitration is Kansas City, Missouri, the language is English, and Missouri law governs.

Restrictions and exceptions

Arbitration is limited to disputes between the parties individually. Disputes concerning intellectual property rights, theft, piracy, privacy invasion, unauthorized use, or claims for injunctive relief are not subject to the informal negotiation and arbitration provisions.

Information on the Services may contain errors, inaccuracies, or omissions. We reserve the right to correct them and to change or update information on the Services at any time without prior notice.

The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use of them, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Services or linked websites and will not be responsible for errors, personal injury, unauthorized access, service interruptions, harmful code, omissions, or losses resulting from content made available through the Services.

To the fullest extent permitted by law, we and our directors, employees, or agents will not be liable for indirect, consequential, exemplary, incidental, special, punitive, or similar damages, including lost profit, lost revenue, or loss of data arising from your use of the Services.

Our liability to you for any cause will be limited to the amount paid, if any, by you to us during the twelve-month period before the cause of action arose.

You agree to defend, indemnify, and hold us harmless from claims, losses, damages, liabilities, demands, and expenses arising from your Contributions, use of the Services, breach of these Legal Terms, breach of your representations, violation of third-party rights, or harmful acts toward another user.

We maintain certain data you transmit to the Services to manage performance and operation. Although we perform routine backups, you are responsible for data you transmit or activities you undertake using the Services.

Using the Services, sending emails, and completing online forms constitute electronic communications. You consent to electronic communications and agree they satisfy any legal requirement that communications be in writing.

You agree to the use of electronic signatures, contracts, orders, records, notices, policies, and transaction records initiated or completed by us or through the Services.

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and us. Our failure to enforce any right is not a waiver. If any provision is unlawful, void, or unenforceable, the remaining provisions remain valid.

No joint venture, partnership, employment, or agency relationship is created by these Legal Terms or use of the Services.
